LEI Code Registration

An LEI (Legal Entity Identifier) Code is a 20-digit alphanumeric identifier used globally to uniquely identify legal entities involved in financial transactions. LEI registration improves transparency, enhances financial security, and reduces the risk of fraud by ensuring that each entity's details are consistently recorded across global financial markets.

Each LEI Code contains key reference information such as the entity's legal name, location, and corporate structure, enabling quick and accurate identification during financial transactions.

What is an LEI Code?

LEI stands for Legal Entity Identifier. It is a globally recognized 20-character alphanumeric code assigned to registered legal entities involved in financial transactions.

Unlike local registration numbers or Corporate Identification Numbers (CIN), an LEI follows the internationally accepted ISO 17442 standard developed by the International Organization for Standardization (ISO).

LEI Codes are issued by Local Operating Units (LOUs) accredited by the Global Legal Entity Identifier Foundation (GLEIF). In India, Legal Entity Identifier India Limited (LEIL), recognized by the Reserve Bank of India (RBI), serves as the official issuer of LEI Certificates.

Structure of an LEI Code

A Legal Entity Identifier follows a standardized 20-character alphanumeric format defined under ISO 17442.

  • Characters 1–4: Represent the identifier of the Local Operating Unit (LOU) that issued the LEI.
  • Characters 5–6: Always contain the value "00".
  • Characters 7–18: A unique sequence assigned to each legal entity.
  • Characters 19–20: Check digits used for LEI verification purposes.

Purpose of LEI Registration

The primary objective of LEI Registration is to improve transparency, strengthen risk management, and enhance trust within the global financial ecosystem.

By assigning every legal entity a unique global identifier, LEI enables regulators, financial institutions, and businesses to quickly identify participants involved in financial transactions while improving reporting accuracy and operational efficiency.

Applicability of LEI Registration

LEI Registration is mandatory for several categories of entities that participate in significant financial transactions.

  • Financial Institutions: Banks, insurance companies, NBFCs, and other financial institutions.
  • Stock Market Participants: Companies listed on stock exchanges and entities participating in depository systems.
  • Derivative & Forex Market Participants: Entities involved in over-the-counter derivatives and foreign exchange transactions.
  • High-Value Transactions: Legal entities conducting transactions exceeding ₹50 crore through RTGS systems.
  • Large Borrowers: Entities with fund-based or non-fund-based exposure of ₹5 crore or more and companies having banking exposure of ₹50 crore or above.
  • Public Securities Transactions: Issuers, guarantors, borrowers, and security providers dealing with publicly listed securities.

Importance of LEI Code

A Legal Entity Identifier plays a significant role in strengthening transparency and security across global financial markets.

  • Improved Transparency: Clearly identifies legal entities participating in financial transactions worldwide.
  • Better Risk Management: Enables financial institutions and regulators to manage counterparty and credit risks effectively.
  • Regulatory Compliance: Required under various financial regulations and reporting frameworks.
  • Operational Efficiency: Simplifies transaction processing, reporting, and record management through a standardized global identifier.
  • Fraud Prevention: Helps trace financial transactions back to their originating legal entities.
  • Market Integrity: Ensures consistent identification of market participants and contributes to financial stability.

Validity of LEI Code

An LEI Code remains valid for one year from the date of issuance and must be renewed annually to keep the entity information accurate and up to date.

For example, an LEI issued on 1st February 2023 must be renewed on or before 1st February 2024.

Renewal of LEI Registration

An LEI Code must be renewed every year to remain active. Failure to renew the registration before the expiry date results in the LEI becoming inactive, which may affect an entity's ability to participate in financial transactions requiring a valid LEI.

LEI Register provides flexible renewal options for 1 year, 3 years, or 5 years. Regardless of the selected renewal period, renewal reminders are sent approximately 59 days before the expiry date.

For multi-year renewals, the LEI Register also updates entity information using official company registries to ensure that all data remains current and accurate.

Documents Required for LEI Registration

The following documents are generally required while applying for an LEI Code through Legal Entity Identifier India Limited (LEIL).

  • Audited Financial Statements: These provide details regarding the financial position and transactions of the entity.
  • Letter of Authority: A Letter of Authority in the prescribed LEIL format or a General Board Resolution authorizing the LEI application.
  • Holding Company Documents: Holding companies and ultimate parent entities must submit audited financial statements or an Auditor's Certificate in the format prescribed by LEIL.

Information Identifiable Through an LEI Code

Every Legal Entity Identifier provides publicly accessible reference information that increases transparency in the global financial marketplace.

Level 1 Data

Level 1 information identifies the legal entity and includes:

  • Legal Name of the Entity.
  • Registration Authority.
  • Registration Number.
  • Legal Jurisdiction.
  • Legal Form of the Entity.
  • Entity Status.
  • Registered Office Address.
  • Headquarters Address.

Level 2 Data

Level 2 information provides details regarding the ownership structure of the legal entity.

  • Who owns the legal entity.
  • Which entities are owned by the legal entity.
  • Corporate ownership hierarchy.

According to the Global Legal Entity Identifier Foundation (GLEIF), every LEI answers three important questions:

  • Who is who?
  • Who owns whom?
  • Who owns what?

How to Get an LEI Code?

Obtaining an LEI Code involves a structured registration process through Legal Entity Identifier India Limited (LEIL). Before beginning the application, ensure that all required documents are available.

Step 1: Prepare Required Documents

Download the document checklist and prescribed formats applicable to your entity type from the LEIL website under the 'Downloads → Legal Docs Download' section. Collect all the documents required before starting the application.

Step 2: Register on the LEIL Portal

Create an account using the official email address of the entity. Only authorized officials empowered through a Letter of Authority or Board Resolution are permitted to submit LEI applications.

During registration, applicants must provide Company Information, Direct Parent Information (where applicable), and Ultimate Parent Information (where applicable).

Step 3: Payment and Document Submission

After entering all the required information, proceed to the payment page. Applicants can make the payment through Net Banking, Credit Card, Debit Card, or Demand Draft.

Once the payment is completed, a reference number is generated and sent through email and SMS. This reference number must be quoted in all future communications and on every document submitted, including the Demand Draft (where applicable).

Step 4: LEI Verification Process

LEIL verifies the submitted application, supporting documents, and payment details. If any clarification or additional documents are required, LEIL notifies the applicant.

Applicants can log in to the portal and update or modify the application details whenever requested during the verification process.

Step 5: LEI Code Issuance

After successful verification, LEIL issues the Legal Entity Identifier (LEI) Code along with a digitally signed invoice. The LEI Code is delivered through the registered email address.

The issued LEI should be shared with all banks and financial institutions wherever required for regulatory compliance.

LEI Code Search

An LEI Code search allows businesses, regulators, and financial institutions to verify the details of a legal entity registered under the Global LEI System.

LEI Search in India

In India, entities can search for an LEI Code using the Search feature available on the Legal Entity Identifier India Limited (LEIL)website. The portal provides access to LEI information for Indian entities and also supports searches for entities registered in other countries.

Global LEI Search

The Global LEI Index, maintained by the Global Legal Entity Identifier Foundation (GLEIF), serves as the central repository for LEI information worldwide.

Users can search using:

  • LEI Number.
  • Registered Legal Entity Name.
  • Registered Business Address.

The search results generally include the LEI status, registration status, country of registration, and details of the Local Operating Unit (LOU) that issued the LEI.
